Terms & Conditions

These Terms & Conditions govern all quotations, estimates, purchase orders, invoices, products, services, transactions and dealings with Razorprints.com, operated by Ramoji Printech. By placing an order through our website, email, WhatsApp, telephone, purchase order, or any other communication channel, the Customer agrees to be bound by these Terms & Conditions.

1. Customer Responsibility

The Customer shall be solely responsible for all content, artwork, text, logos, trademarks, images, documents, designs, data, specifications, and instructions supplied for printing. Ramoji Printech acts solely as a contract printer and manufacturer and does not verify, authenticate, fact-check, audit, validate, review, or investigate the legality, ownership, correctness, completeness, or accuracy of any customer-supplied material.

2. Copyright, Trademark & Intellectual Property

The Customer warrants that all submitted content is either owned by the Customer or used with proper authorization from the rightful owner. The Customer shall be solely liable for any copyright infringement, trademark infringement, patent infringement, design infringement, privacy violations, defamation claims, regulatory violations, or any other legal consequences arising from submitted content. The Customer agrees to indemnify and hold harmless Razorprints.com, Ramoji Printech, its proprietors, employees, representatives, successors and assigns against all claims, actions, damages, penalties, costs and legal expenses arising from customer-supplied materials.

3. No Duty to Verify

Ramoji Printech has no obligation to:

• Verify ownership of content.
• Verify copyright permissions.
• Verify trademark rights.
• Verify authenticity of documents.
• Verify factual accuracy.
• Verify regulatory compliance.
• Verify educational, legal, financial or governmental content.

Acceptance of an order shall not constitute approval, endorsement, authentication, certification, or validation of submitted content.

4. Customer Approval is Final

Once artwork, proofs, specifications, layouts, quantities, dimensions, paper selections, binding styles, finishing details, and production instructions have been approved by the Customer through any mode of communication, such approval shall be deemed final and binding. No claim shall be entertained for spelling mistakes, grammatical errors, typographical mistakes, formatting issues, low-resolution images, incorrect content, missing pages, or errors contained within approved files.

5. File Storage & Retention

The Customer expressly authorizes Razorprints.com to receive, process, reproduce, store, archive, backup, and retain submitted files for operational, legal, accounting, repeat-order, quality-control, customer-support, and business continuity purposes. Ramoji Printech is under no obligation to delete customer files after completion of an order. No guarantee is provided regarding permanent preservation, future retrieval, availability, restoration, or accessibility of archived files. Customers must maintain their own backups.

6. No NDA Unless Agreed in Writing

No confidentiality obligation shall arise merely by placing an order, uploading files, or requesting a quotation. Any confidentiality obligations shall apply only where a separate written Non-Disclosure Agreement (NDA) has been executed by an authorized representative of Ramoji Printech.

7. License to Process Customer Content

The Customer grants Razorprints.com a non-exclusive, royalty-free license to store, reproduce, process, modify for production purposes, archive, and print submitted content solely for fulfilling customer orders and related services. Ownership of the content remains with the Customer.

8. Production Samples

Ramoji Printech reserves the right to retain production samples, machine setup sheets, spoilage sheets, color proofs, specimen copies, and overruns for quality-control, training, legal compliance, and dispute-resolution purposes.

9. Quantity Variation

A variation of up to ±10% in delivered quantity shall constitute complete and satisfactory fulfillment of the order and shall be billed accordingly.

10. Colour & Production Variations

Exact colour matching cannot be guaranteed. Reasonable variations in colour, shade, finish, paper, binding, texture, dimensions, weight, and manufacturing characteristics shall not be considered defects.

11. Repeat Orders

Exact reproduction of colours, paper stocks, finishes, materials, dimensions, and manufacturing characteristics in future repeat orders is not guaranteed.

12. Delivery & Transit Risk

All deliveries are strictly EX-PREMISES. Our responsibility ceases immediately upon dispatch of goods from our factory, warehouse, office, or premises. Any loss, damage, shortage, delay, deterioration, or transit-related issue thereafter shall be the responsibility of the carrier and/or Customer.

13. Goods Once Sold

Goods once sold, printed, customized, manufactured, dispatched, or delivered shall not be taken back, returned, exchanged, or refunded except at the sole discretion of Ramoji Printech.

14. Storage & Unclaimed Goods

Goods not collected within seven (7) days from completion notice may attract storage, handling, and warehousing charges. Goods remaining unclaimed for more than ninety (90) days may be disposed of without further notice.

15. Right to Suspend Work

Ramoji Printech reserves the right to suspend production, withhold dispatches, retain finished goods, cancel pending orders, or refuse future business where payments are overdue or recovery appears doubtful.

16. Payments

Payments shall be made through bank transfer, cheque, UPI, payment gateway, or any other mode specified by Ramoji Printech. Ownership of goods shall remain with Ramoji Printech until full payment has been received and realized.

17. Interest on Delayed Payments

In the event of delay in payment beyond the due date, interest at the rate of 24% per annum, calculated on a day-to-day basis, shall be charged on the outstanding amount until realization.

18. Recovery Expenses

The Customer shall be liable for all legal expenses, advocate fees, collection charges, court fees and recovery costs incurred by Ramoji Printech.

19. Lien on Goods

Ramoji Printech shall have a general and particular lien over all customer goods, materials, files, artwork, printing plates, dies, cylinders, blocks, work-in-progress and finished products for recovery of outstanding dues.

20. Security & Regulated Documents

The Customer shall be solely responsible for obtaining all approvals, permissions, registrations, licenses, and legal authorizations required for printing certificates, marksheets, examination material, identity cards, security documents, and regulated materials.

21. Limitation of Liability

The maximum liability of Ramoji Printech, under any circumstances, shall not exceed the invoice value of the specific order giving rise to the claim.

22. No Consequential Loss

Under no circumstances shall Ramoji Printech be liable for examination delays, admission losses, missed deadlines, tender losses, publication delays, business interruption, reputational damage, loss of profits, loss of opportunity, or any indirect, incidental, special, punitive, or consequential losses arising from any order, delay, defect, dispute, or transaction.

23. Claims & Disputes

Any dispute, objection, shortage, quality concern, invoice query, or claim must be communicated in writing within seven (7) days from the date of invoice or delivery, whichever occurs earlier. Failure to do so shall constitute waiver of such claim.

24. Electronic Acceptance

Orders, approvals, confirmations, purchase orders, proof approvals, website transactions, emails, WhatsApp messages, online payments, and electronic communications shall be deemed valid, binding and enforceable.

25. Force Majeure

Ramoji Printech shall not be liable for delays or failures arising from natural disasters, floods, fires, pandemics, strikes, government actions, transport disruptions, power failures, machinery breakdowns, or events beyond reasonable control.

26. Insolvency

Upon insolvency, liquidation, bankruptcy, or financial distress of the Customer, all outstanding dues shall become immediately payable without notice.

27. Jurisdiction

All transactions shall be governed by the laws of India. Subject to Ghaziabad Jurisdiction Only. All disputes shall be exclusively subject to the competent courts located at Ghaziabad, Uttar Pradesh.
